Our client is a listed bank, with heavy footprints in Asia, looking for a legally trained corporate secretary.

Some of the key responsibilities will include:

  • Ensuring best practices in the company secretary function and corporate compliance
  • Advise senior management on corporate governance matters under the Banking Regulations and MAS Guidelines
  • Handle the procedural matters of the Board Committee on applicable regulations and liaise with MAS on the requirements
  • Manage the company secretariat matters of the Singapore incorporated related companies of the bank
  • Maintain and update the bank’s statutory register and records in accordance with the Companies Act
  • General administrative matters, establish policies and procedures, effect filings with ACRA etc

 

To be eligible for this role you will require:

  • Singapore qualified lawyer or ICSA qualification with good understanding of the Companies Act/Regulations and Banking Act/Regulations as well as the applicable guidelines.
  • At least 8 - 15 years of experience in a financial institution or reputable listed company
  • Experience as company secretary of a financial institution or mainboard listed companies will be an advantage
