Main purpose of the role:
- Advise on a wide range of DCM transactions, including bond issuances, medium-term note programmes, structured debt products, and regulatory-related documentation.
- Support ECM transactions including IPOs, secondary offerings, rights issues, equity-linked products, and related capital raisings.
- Provide legal advice on public and private M&A transactions, joint ventures, strategic investments, and corporate restructurings.
- Draft, review and negotiate transaction documentation, including underwriting agreements, subscription agreements, shareholder agreements, disclosure documentation and ancillary transactional documents.
- Liaise with internal stakeholders, business teams, compliance, risk and external counsel to ensure efficient transaction execution.
- Advise on applicable regulatory, corporate governance and disclosure requirements.
- Manage multiple transactions simultaneously while providing practical, commercial and risk-based legal advice.
- Monitor relevant legal and regulatory developments impacting capital markets and M&A activities.
Person specification:
- Minimum 10 years' PQE gained from a leading international law firm and/or in-house legal team within a financial institution.
- Strong experience across DCM, ECM and M&A transactions.
- Familiarity with Singapore and broader APAC capital markets regulatory frameworks is highly desirable.
- Excellent drafting, negotiation and stakeholder management skills.
- Commercially minded with the ability to deliver pragmatic legal solutions in a fast-paced environment.
