The CIB Americas Legal Department is a strategic partner to the business, dedicated to providing effective, efficient legal advice and counsel for the CIB Americas platform. The department ensures that the platform's businesses benefit from high-quality legal support and that potential legal risks are properly evaluated and managed. As part of its mandate, the CIB Americas Legal Department also coordinates all external counsel engagements.

Natixis is seeking an experienced attorney to join the New York Legal Department as Executive Director, Senior Counsel , leading the Securitization & Capital Markets team. This team covers CLO/ABS transactions, debt capital markets transactions, equity capital markets transactions, CMBS and CRE CLO business lines, and the U.S. MTN program, among other areas. The team also provides support to the U.S. broker-dealer and international Natixis offices on U.S. securities law matters.

You will join a 23-person legal department and will be expected to handle a diverse array of transactions and regulatory matters across securitization and capital markets products. You should be an effective leader who can both lead complex transactional matters and manage a 6-person Securitization & Capital Markets Legal team .

Essential Duties & Responsibilities

The Executive Director, Senior Counsel will play a pivotal role in the CIB Americas Legal Department, taking primary responsibility for the Securitization & Capital Markets Legal team. Key areas of focus include:

Expert Legal Guidance
  • Provide practical, business-oriented legal advice and support to the CIB Americas platform on all matters related to securitization and capital markets transactions.
  • Advise on structuring, documentation, and execution of securitization, structured finance, and capital markets transactions.

Cross-Functional Collaboration
  • Partner closely with Front Office, Compliance, Risk Management, Operations, and other stakeholders on a wide range of transactions and strategic initiatives.
  • Build strong working relationships across functions and geographies to support business growth while maintaining robust risk management.

Leadership
  • Lead, mentor, and supervise a 6-person Securitization & Capital Markets Legal team that specializes in, and provides support for, a wide variety of securitization, structured finance, and capital markets transactions.
  • Foster a collaborative, high-performance culture focused on proactive issue-spotting, solution-oriented advice, and professional development.

Transactional Support
  • Drive legal support for strategic initiatives to grow the securitization and capital markets businesses, including ABS/CLO, debt capital markets, structured equity capital markets, CMBS/CRE CLO, and the U.S. MTN program.
  • Manage and negotiate transaction documentation and actively participate in deal execution from origination through closing.

Regulatory Support
  • Partner with Legal and Compliance teams in New York, Paris, and London to address U.S. broker-dealer and U.S. securities law issues for international offices, as well as EU securitization regulations as they relate to structuring U.S.-based transactions.
  • Monitor legal and regulatory developments and assess their impact on securitization and capital markets activities.

Legal Risk Management
  • Proactively manage external counsel as needed, ensuring high-quality, cost-effective legal support.
  • Conduct thorough legal analyses and contribute to the New Product Committee to ensure robust understanding and coverage of legal risks.
  • Collaborate continuously with external counsel and with Credit Risk, Compliance, Market Risk, and Operations, and escalate legal risks related to securitization and capital markets activities to relevant stakeholders and senior management in a timely manner.

Qualifications
  • J.D. degree from an accredited law school.
  • Bar admission in New York.
  • Minimum of 7-10 years of relevant experience at a large financial institution and/or a leading law firm, with a strong background in securitization, structured finance, and capital markets transactions.
  • Excellent verbal and interpersonal skills, with the ability to communicate effectively and credibly with senior business, risk, and control partners.
  • Strong written communication skills, including the ability to convey complex issues clearly, succinctly, and in a well-organized manner.
  • Demonstrated analytical and organizational skills, with the ability to manage multiple priorities, work under pressure to meet deadlines, and respond quickly and creatively in a fast-paced, evolving environment.
  • Self-motivated and able to work independently, while knowing when to involve other team members and how to operate effectively in a collaborative team setting.
  • High degree of integrity and a strong work ethic, with reliable follow-through on commitments and a focus on promoting best practices and enhancing control over procedures.
  • Knowledge of French is preferred but not required.

The salary range for this position will be between $320,000 - $375,000. Natixis is required by law to include a reasonable estimate of the compensation range for this role. Actual base salary will vary and will be based on several factors including, but not limited to, relevant experience, education, skills set, applicable licensure and certifications, and other business and organizational needs. Base salary is only one component of our total rewards package. Natixis also offers a generous benefits package, and you may be eligible for a discretionary incentive award depending on company and individual performance.
