We have been mandated by a leading technology company to appoint a Group Legal Counsel primarily supporting on M&A transactions. This is an excellent opportunity for a M&A lawyer to join a high-performing legal team with long-term career progression opportunities.
Job Responsibilities
- Lead legal support on private M&A transactions, strategic investments, joint ventures, and other corporate development initiatives.
- Structure, negotiate, and manage transaction documents, including share purchase agreements, investment agreements, shareholders' agreements, and related commercial contracts.
- Provide legal advice on deal execution, due diligence, post-acquisition integration, and corporate restructuring projects.
- Partner closely with senior management and business stakeholders to evaluate opportunities and manage legal and commercial risk.
- Support a broad range of corporate and commercial matters arising from the group's investment and operating activities.
Job Requirements
- Qualified lawyer with 8-12 years' PQE, ideally from a reputable international law firm and/or sizeable corporate environment.
- Strong experience handling private M&A, strategic investments, joint ventures, and corporate transactions.
- Exposure to corporate structuring, due diligence, transaction execution, and post-deal integration matters.
- Commercially minded with a pragmatic and solutions-driven approach.
- Fluent in English and Chinese (Cantonese); Mandarin would be an advantage.
- Strong drafting, negotiation, and stakeholder management skills.
- Able to work independently and manage multiple transactions in a fast-paced environment.
